Please read these Terms of Service ("Terms") carefully before purchasing or using our software. By purchasing, downloading, installing, or using our software (the "Software"), you agree to be bound by these Terms.

1. Definitions

"Software" means all software products developed and provided by ERK-CAD Piping Design Ltd., including but not limited to plugins, extensions, scripts, libraries, and tools designed for use with Autodesk AutoCAD or other host applications, together with any related documentation, updates, and supplemental materials.

"Host Application" means Autodesk AutoCAD or any other third-party software with which our Software is designed to interoperate.

"You" or "User" means the individual or legal entity purchasing or using the Software.

2. Agreement to Terms

These Terms constitute a legally binding agreement between you and ERK-CAD Piping Design Ltd. (the "Company", "we", "us", or "our").

By using the Software, you represent that you are at least the age of majority in your jurisdiction and have the legal authority to bind any entity on whose behalf you are acting.

3. License Grant

We grant you a non-exclusive, non-transferable, limited license to use the Software in accordance with these Terms and the specific license you purchased.

For one-time purchases, the license is perpetual (subject to termination for breach). You may install and use the Software on the number of devices (or seats) specified at the time of purchase.

For subscription-based licenses, the license is valid only for the active subscription period. Upon expiration or cancellation, your right to use the Software terminates immediately.

The license is granted solely for use with the Host Application and only as integrated therewith.

4. Restrictions and Prohibited Conduct

You agree not to:

  • Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the Software.
  • Attempt to bypass, disable, or circumvent any licensing, activation, or security mechanisms (including cracking, key generation, or license circumvention).
  • Distribute, share, sublicense, rent, lease, or sell the Software or your license key.
  • Use the Software in any manner that violates the terms of service or license agreement of the Host Application (AutoCAD or other).
  • Engage in software piracy or unauthorized distribution.
  • Remove or alter any copyright, trademark, or proprietary notices.
  • Use the Software to develop a competing product or for any unlawful purpose.

Any violation will result in immediate termination of your license and may result in legal action.

5. Third-Party Software and Host Application Compatibility

The Software is designed to operate with specific versions of Autodesk AutoCAD or other Host Applications. We do not guarantee compatibility with future versions of any Host Application.

You are solely responsible for ensuring that the Software is compatible with your specific environment, including operating system, hardware, and Host Application version.

We are not responsible for any errors, crashes, or data corruption caused by:

  • Updates, changes, or modifications to the Host Application by its publisher (Autodesk or others);
  • Conflicts with other third-party plugins or extensions;
  • Your failure to follow installation or usage instructions.

You acknowledge that Autodesk AutoCAD is a complex professional tool, and the Software may interact with critical drawing files. You agree to maintain regular backups of all your work products.

6. Updates and Support

Updates: We may provide updates, patches, or new versions of the Software at our discretion. Updates may be free or paid depending on the license type and the nature of the update. We will communicate update terms at the time of release.

Support: Technical support is provided as described on our website or at the time of purchase. We do not guarantee response times or resolution of all issues, particularly those caused by Host Application changes or user environment conflicts.

No obligation: We are not obligated to provide updates, maintenance, or support unless expressly stated in a separate support agreement.

7. Beta Versions and Pre-Release Software

If we provide you with beta, alpha, or pre-release versions of the Software:

  • Such versions are provided "as-is" without any warranty.
  • You acknowledge that they may contain errors, bugs, or incomplete features.
  • We may request feedback, and any feedback you provide becomes our property.
  • We may terminate access to beta versions at any time without notice.

8. Payments and Checkout

These Terms apply specifically to pre-built software products available for direct purchase on this website.

All checkouts and payments are conducted exclusively through Polar.sh. We do not store your payment information. By making a purchase, you also agree to Polar.sh's Buyer Terms and Conditions.

Custom software development and other services (including piping consulting and AutoCAD Plant 3D administration) are not processed through Polar or this checkout. Each service engagement is scoped individually and confirmed with a written quote. Payment terms are agreed upon directly with the client.

9. Refunds

Due to the digital nature of the Software, all sales are final. Refunds may be considered on a case-by-case basis at our sole discretion (e.g., unresolved technical issues that prevent use of the Software that are not caused by your environment or Host Application compatibility). No refunds will be provided after 30 days from the purchase date.

10. Data Collection and Privacy

10.1 What We Collect

ERK-CAD collects the minimum data necessary to validate your license. We do not collect personal information directly through the Software itself.

The following limited, non-personal data is collected solely for license validation:

10.2 What We Do Not Collect

We do not collect, store, or transmit any of the following:

  • Your name, email address, billing address, or any personally identifiable information (through the Software)
  • Your IP address (license validation uses anonymous requests only)
  • Your drawings, project files, or any data created using the Software
  • Usage analytics or telemetry
  • Crash reports (unless you voluntarily submit one)
  • Keystrokes, mouse movements, or screen captures
  • Payment card details (all payment processing is handled exclusively by Polar.sh)

10.3 Aggregate Platform Data

We may track aggregate, non-identifiable statistics such as the total number of active users on our platform. This data cannot be linked to any individual and is used solely to understand overall product adoption.

10.4 Email Notifications (Optional)

If you provide your email address when purchasing through Polar.sh or by opting in on our website, we may use it to notify you of:

  • Available software updates or new versions
  • Important notices regarding your license
  • Product announcements (only if you have opted in)

You may unsubscribe at any time by contacting us at support@erkcad.com. We do not share your email address with third parties.

10.5 Payment Processing

All payment transactions are processed exclusively by Polar.sh. ERK-CAD does not receive, store, or have access to your payment card details, billing address, or any other financial information. We recommend reviewing Polar.sh's privacy policy separately.

10.6 No Data Retention After License End

We do not retain license validation records after your license has expired, been cancelled, or been terminated. Upon license end, associated records are deleted from our validation server. You may also request deletion of your records at any time by contacting us at support@erkcad.com.

10.7 Jurisdiction

If you are located in the European Economic Area, the United Kingdom, or other jurisdictions with specific data protection requirements (including under GDPR, CCPA, or Canada's federal privacy law PIPEDA), you consent to the processing of license data as described in this section. Since we collect no personal data through the Software, your data subject rights under these laws are automatically satisfied. You may contact us at any time to confirm what records we hold.

11. Intellectual Property

The Software, including all code, designs, documentation, algorithms, trade secrets, and content, is owned by the Company and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

You acknowledge that the Software contains valuable trade secrets and proprietary information.

12. Warranties and Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Software will be error-free, uninterrupted, or meet all your requirements;
  • The Software will be compatible with all versions or configurations of the Host Application;
  • The Software will prevent or correct any errors in your drawings, designs, or calculations;
  • The Software will not cause data loss or corruption.

You assume all responsibility for verifying the accuracy and suitability of any output produced using the Software. The Software is a tool to assist professional users; it is not a substitute for professional engineering judgment.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages (including but not limited to loss of profits, revenue, data, business interruption, replacement costs, damage to reputation, or loss of design work);
  • Damages arising from: use or inability to use the Software, errors or omissions in the Software, loss or corruption of data, unauthorized access to your systems, or any actions taken based on output from the Software;
  • Damages related to the Host Application (including AutoCAD crashes, drawing file corruption, or compatibility issues with other plugins);

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Software shall not exceed the amount you paid to us for the Software during the twelve (12) months preceding the claim.

Some jurisdictions do not allow limitations on incidental or consequential damages, so this limitation may not apply to you. In such jurisdictions, our liability shall be limited to the smallest amount permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Software in violation of these Terms;
  • Your violation of any third-party rights (including Autodesk's terms of service or intellectual property);
  • Any claim that your use of the Software caused damage to your projects, systems, or data;
  • Your failure to maintain adequate backups.

15. Termination

We may terminate or suspend your license immediately, without prior notice, if you breach any of these Terms. Upon termination:

  • Your license rights cease immediately;
  • You must cease all use of the Software, uninstall it, and destroy all copies in your possession;
  • Sections regarding intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Province of Alberta, Canada and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Software shall be resolved exclusively in the courts located in Calgary, Alberta, Canada. You consent to the personal jurisdiction of such courts and waive any objection based on forum non conveniens.

For disputes involving unauthorized use or distribution of the Software, we may seek injunctive relief in any jurisdiction without waiving other remedies.

17. Changes to Terms

We reserve the right to update these Terms at any time. The "Effective Date" at the top indicates when the Terms were last revised. Continued use of the Software after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Software and uninstall it.

Material changes will be communicated via email (if you have provided one) or through our website.

18. Force Majeure

We shall not be liable for any delay or failure to perform obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, cyberattacks, internet outages, changes in Host Application APIs, government actions, or labor disputes.

19. Entire Agreement and Severability

These Terms constitute the entire agreement between you and the Company regarding the Software and supersede all prior agreements, whether written or oral.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Export Control

The Software may be subject to Canadian and U.S. export control laws. You agree to comply with all applicable export and re-export restrictions. You represent that you are not located in a country subject to sanctions or a prohibited party.

21. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
